Thank you for accessing the Krish-e website https://krishe.co.in/ (the "Website"), which is owned, operated and managed by Mahindra & Mahindra Ltd., a company incorporated under the Indian Companies Act, 1913 having its registered office at Gateway Building, Apollo Bunder, Mumbai – 400 001, Maharashtra, India (hereinafter referred to as "Company", which expression shall, unless it be repugnant to the context or meaning thereof, be deemed to mean and include all its successors and permitted assigns).

  1. DEFINITIONS

    The words and phrases used in the Terms of Use are defined as under unless repugnant to the context or meaning thereof:

    • "Agreement" shall mean the Agreement between the Company and User with terms and conditions as provided herein and includes the Privacy Policy and all the schedules, appendices and references mentioned herein with all such amendments as effected by the Company from time to time.
    • “Website” means the mobile application that User(s) are currently using Krish-e and all the sections within the Website, unless expressly excluded by its own terms and conditions.
    •  “Free Services” means all services provided as a general information/advisory based on User location and based on inputs provided by app user/s.
    • “Premium Services” shall include soil test based and weather-based advisory through day wise calendar.
    • "User(s) " shall mean any natural or legal person who accesses, uses, deals with and/or transact at the Website in any way.

  2. ACCEPTANCE OF TERMS OF USE:
    • The Agreement between the Company and the User is an electronic record in terms of Information Technology Act, 2000 (as amended from time to time) and rules made thereunder pertaining to electronic records in various statutes. The Agreement is generated as an electronic record by a computer system and does not require any physical or digital signatures and is also published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries guidelines) Rules, 2011 (as amended from time to time).
    • Use of this Website is regulated by terms & conditions provided herein. In addition, some services offered through the Website may be subject to additional terms and conditions adopted by the Company. Your use of those services is subject to those additional terms and conditions, which are incorporated into these Terms of Use by this reference.
    • By accessing, browsing, dealing, transacting and/or otherwise using this Website, User(s) shall be deemed to have accepted these Terms of Use and the Agreement. In the event, an option is given during the course of every transaction to enable the User to express his/her acceptance or rejection of the Agreement, your acceptance by clicking on "I Agree" shall be deemed that User(s) have gone through, understood and accepted these terms and conditions completely and accordingly the Agreement shall be treated as legally binding and enforceable agreement between the Company and User(s).   3. ELIGIBILITY TO TRANSACT ON THE Website:

    Use of the Website is available only to natural and / or legal persons who can form legally binding contracts under Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents etc. are not eligible to use the Website in any manner.   4. PLATFORM FOR TRANSACTION AND COMMUNICATION
    • User(s) agree and acknowledge that the Company is only acting as a facilitator and provider of the platform of the transaction of availing of Services.
    • Company will not be responsible for any business loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure) or any other indirect or consequential loss that is not reasonably foreseeable to both User(s) and Company when User(s) commenced using the Website.
    • Company further expressly disclaims any warranties or representations (express or implied) in respect of quality, suitability, accuracy, reliability, completeness, timeliness, performance, safety, merchantability, fitness for a particular purpose, or legality of the Services listed or the content (including product information and/or specifications) on the Website. While Company has taken precautions to avoid inaccuracies in content, this Website, all content, information, software, Services and related graphics are provided as is, without warranty of any kind. Company does not implicitly or explicitly support or endorse the provision of Service on the Website.
  5. RIGHT OF COMPANY TO AMEND TERMS
    • Company may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when Company posts them and apply to all access to and use of the Website thereafter. Company will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, Company may restrict access to some parts of the Website, or the entire Website, to Users, including registered Users.
    • Your continued use of the Website following the posting of revised Terms of Use means that User(s) accept and agree to the changes. User(s) are expected to check this page from time to time/frequently/each time User(s) access this Website so User(s) are aware of any changes, as they are binding on User(s).
  6. REGISTRATION, DATA AND OBLIGATIONS
    • To access the Website or some of the resources it offers, User(s) may be asked to provide certain registration details or other information. It is a condition of Your use of the Website that all the information User(s) provide on the Website is correct, current and complete. User(s) agree that all information User(s) provide to register with this Website or otherwise, including but not limited to through the use of any interactive features on the Website, is governed by our Privacy Policy, and User(s) consent to all actions Company takes with respect to Your information consistent with our Privacy Policy.

    • User(s) shall further be liable to be prosecuted and/or punished under applicable laws for furnishing false, incorrect, incomplete and/or misleading information to the Company. User(s) shall indemnify and hold harmless the Company, its subsidiaries, affiliates and their respective officers, directors, agents and employees, from any claim or demand, or actions including reasonable attorney's fees, made by any third party or penalty imposed due to or arising out of Your breach of these Terms of Use or any document incorporated by reference, or Your violation of any law, rules, regulations or the rights of a third party.
    • User(s) hereby expressly release the Company and/or its affiliates and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions/inactions of the vendors and specifically waiver any claims or demands that User(s) may have in this behalf under any statute, contract or otherwise.

    • User(s) shall not use any of the Company IPR without prior written consent from the Company, in connection with any service that is not in any manner connected or provided by the Company or its affiliates, or in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits the Services or the Company or its affiliates.
    • All other trademarks, copyrights with respect to the various Services on the Website shall remain the exclusive intellectual property of their respective owners and the Company shall not claim any rights, benefits, interest or affiliation in connection with such intellectual property, unless otherwise expressly provided for.

If User(s) download software from the Website, use of the software is subject to the license terms in the software license agreement that accompanies or is provided with the software.     Access to the Free Services under the Website is free and Company does not charge any fee for browsing the Website for the same. Company reserves the right to change its fee policy from time to time. In particular, Company may at its sole discretion introduce new services and modify some or all of the existing Services offered on the Website. Unless otherwise stated, for the Premium Services all fees shall be quoted on the Website in Indian Rupees and the same would be required to be paid by the User for accessing Premium Services. User(s) shall be solely responsible for compliance of all applicable laws including those in India for making payments to the Company.

  9. REPRESENTATION AND WARRANTY ON BEHALF OF THE COMPANY
    • The Company does not represent or warrant as to specifics such as quality or value of the Services offered on the Website. The Company also does not implicitly or explicitly support or endorse the Services on the Website. Company is not liable for any errors or omissions on behalf of third parties.
    • The Company shall not be responsible in any manner whatsoever for any loss and/or damage to User(s) due to incorrect, incomplete and/or false information furnished by User(s).
  10. REPRESENTATION AND WARRANTY ON BEHALF OF THE USER
    • User represents and warrants that User is the owner and/or authorized to share the information which the User gives on the Website and that the information is correct, complete, accurate, not misleading, does not violate any law, notification, order, circular, policy, rules and regulations, is not injurious to any person or is discriminatory with respect to sex, caste, race or religion and/or property.
    • User undertakes to indemnify and keep indemnified the Company and/or its shareholders, directors, employees, officers, affiliates, associate companies, advisors, accountants, agents, consultants, contractors and/ or suppliers for all claims resulting from information User posts and/or supplies to the Company. The Company shall be entitled to remove any such information posted by User without any prior intimation to User.
    • User understands that the Company does not have any control on accuracy of information submitted by anybody on the Website and therefore agrees that the Company shall not be responsible for any loss, damage, cost, expenses, etc. due to inaccuracy of any information submitted by User or anybody else on the Website.
    • User shall not upload on the Website or otherwise distribute or publish through the Website any matter or material which is or may be considered abusive, pornographic, illegal, defamatory, obscene, racist or which is otherwise unlawful or designed to cause disruption to any computer systems or network. The Company shall be entitled without liability to the User and at our discretion to remove any such content from our server immediately.       • User(s) grant to the Company the worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sub licensable, transferable right to (and to allow others acting on its behalf to) (i) use, edit, modify, prepare derivative works of, reproduce, host, display, stream, transmit, playback, transcode, copy, feature, market, sell, distribute, and otherwise fully exploit Your User Submissions and Your trademarks, service marks, slogans, logos, and similar proprietary rights, if any, in connection with (a) the products, (b) the Company’s (and its successors' and assigns’) businesses, (c) promoting, marketing, and redistributing part or all of the Website (and derivative works thereof) in any media formats and through any media channels (including, without limitation, third-party websites); (ii) take whatever other action is required to perform and market the Service; and (iii) use and publish, and permit others to use and publish, the User Submissions, names, likenesses, and personal and biographical materials of User, in connection with the provision or marketing of the Service. The foregoing license grant to the Company does not affect Your other ownership or license rights in your User Submissions, including the right to grant additional licenses to Your User Submissions. Further, the User agrees and understands that the Company reserves the right to remove and/or edit such User Submissions or part thereof.
    • User confirms that he/she shall abide by all notices, all terms of the competitions hosted on the Website and all the terms and conditions (as amended from time to time) contained and mentioned herein.
    • User undertakes and confirms that User shall not use the Company’s Website or Services therein for any purpose that is unlawful and/or prohibited by the terms of the Agreement and/or under any applicable laws.       • Unexpected technical and/or security issues and/or problems.
      • Engagement by the User in fraudulent and/or illegal activities.
      • Non-payment of any fees owed by the User in connection with the use of Website and/ or Services.
      • Termination of User account includes:
      • Removal of access to all offerings within the Service.
      • Deletion of User password and all related information, files and content associated with or inside User account (or any part thereof).
      • Barring of further use of the Website and/ or Service.

    • Company may update the content on this Website from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Website may be out of date at any given time, and Company is under no obligation to update such material.

  13. INDEMNIFICATION

    User(s) agree to defend, indemnify and hold harmless the Company, its affiliates, licensors and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) made by any third party and/or penalty imposed due to and/or arising out of breach of the Agreement by User, and/or violation of any law, rules or regulations and/or the rights of a third party and/or the infringement by User including, without limitation, copyright and trademark infringement, obscene and/or indecent postings, and defamation, and/or any third party using the User's account, of any intellectual property and/or other right of any person and/or entity.

  14. DISPUTE RESOLUTION, GOVERNING LAW AND JURISDICTION

    Dispute Resolution: Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in accordance with the Arbitration Rules of the Mumbai Centre for International Arbitration (“MCIA Rules”), which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Mumbai. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English.

    Governing Law and Jurisdiction: All matters relating to the Website and the Agreement and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India and courts at Mumbai only shall have exclusive jurisdiction.

  15. FORCE MAJEURE

    The Company shall not be liable for any failure and/or delay on its part in performing any of its obligation under this Agreement and/or for any loss, damage, costs, charges and expenses incurred and/or suffered by the User by reason there of if such failure and/or delay shall be result of or arising out of Force Majeure Event set out herein. Explanation: "Force Majeure Event" means any event due to any cause beyond the reasonable control of the Company, including, without limitation, unavailability of any communication system, sabotage, fire, flood, earthquake, explosion, acts of God, civil commotion, strikes, lockout, and/or industrial action of any kind, breakdown of transportation facilities, riots, insurrection, hostilities whether war be declared or not, acts of government, governmental orders or restrictions, breakdown and/or hacking of the Website and/or contents provided for availing the products and/or Services under the Website, such that it is impossible to perform the obligations under the Agreement, or any other cause or circumstances beyond the control of the Company hereto which prevents timely fulfilment of obligation of the Company hereunder.

  16. GENERAL PROVISION:
    1. Waiver:

      No waiver of by the Company of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

    2. Severability:

      If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

    3. Entire Agreement:

      The Terms of Use and our Privacy Policy constitute the sole and entire agreement between User(s) and Company with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website.

    4. Geographic Restrictions:

      The owner of the Website is based in India. Company makes no claims that the Website or any of its content are appropriate outside of India. Access to the Website may not be legal by certain persons or in certain countries. If User(s) access the Website from outside India, User(s) do so on Your own initiative and are responsible for compliance with local laws.

    5. E- Mail Subscription:

      When the option is provided, User can subscribe or opt-in for receiving email marketing mailers/newsletters in following cases:-

      • When User registers from 'Registration' page: User clicks at the 'Register' link on Website header and registers by entering the email address/phone number and account password. User becomes subscribed for email marketing mailers or marketing SMS.
      • When User registers during 'Guest checkout': While User is at the checkout stage, a non-registered user enters the email address/phone number & proceeds for payment. User is registered in the process and password is emailed/messaged. User becomes subscribed for email marketing mailers or marketing SMS.
      • User subscribes from footer, but User is not registered: There is a facility at the Website wherein User can enter the email ID/phone number to subscribe for email marketing mailers or marketing SMS. User is NOT registered but subscribed for email marketing mailers or marketing SMS.
      • User subscribes from Static DIV, but User is not registered: When User visits Website for the first time, User will view a notification to submit the email address/phone number and subscribe for email marketing mailers or marketing SMS. User is NOT registered but subscribed for email marketing mailers or marketing SMS.
      • User re-subscribes from 'My Account': This facility in 'My Account' where a registered User which is currently un-subscribed for email marketing mailers or marketing SMS can select the option to receive such mailers or SMS in future. Such User is subscribed or opt-in.

The marketing mailer would have link using which User can subscribe for receiving the similar mailers in future. Such User is subscribed.

      User is un-subscribed for receiving email marketing mailers/newsletters/marketing SMS in following cases:-

      • User un-subscribes from email marketing mailer: Every email marketing mailer would have a link by using which User can un-subscribe from receiving any mailer in future. Such User is un-subscribed.
      • User un-subscribes from 'My Account': This a facility in 'My Account' where a registered User already subscribed for email marketing mailers can unselect the option to receive such mailers in future. Such User is un-subscribed.
